Invitation to Bid (Open Tender)

For Transaction Advisory Services

ITB No. OIC/009/2025-26

Oromia Insurance S.C. hereby invites qualified and experienced firms to submit bids for the provision of Transaction Advisory Services related to the registration of its existing shares, in order to facilitate the integration of existing securities into the regulated capital market system

1. Scope of Work

The successful bidder shall undertake the following:

1. Advise on the preparation and submission of registration documents to the Ethiopian Capital Markets Authority (ECMA) in line with Proclamation No. 1248/2021 and Directive No. 1030/2024.
2. Support regulatory compliance and coordinate with the relevant authorities
3. Provide guidance for an efficient and timely registration process.
4. Offer ongoing advisory support throughout the registration and integration period.

2. Eligibility Criteria

Bidders must demonstrate the following:

1. Proven experience in providing transaction advisory services. particularly in capital markets and securities registration
2. Strong knowledge of the Ethiopian financial services industry and capital markets environment.
3. Adequate professional qualifications, certifications, and organizational capacity to deliver the assignment.

3. All interested bidden shot fulfill the eligibility as well as technical requirements Stated below

1. Valid and renewed trade license for the year of 2017 E.C
2. VAT Registration certificate
3. IN Certificate
4. Certificate of Competence

4. Submission Details

1. Interested firms should submit their bid package, which must include:

• A technical proposal (approach, methodology, and work plan).
• Company profile with organizational details,
• Evidence of relevant experience in similar assignments.
• A financial proposal, including a detailed cost breakdown for deliverables.

2. The bid shall be open from September 15, 2025 to September 25, 2025.

• Bids will close on September 25, 2025 at 9:00 PM (local time).
• Bids will be publicly opened on the same day at 9:10 PM (local time), in the presence of bidders or their duly authorized representatives, at the Company's Board Meeting Room.

5. Rights of the Company

Oromia Insurance S.C. reserves the right to accept or reject any or all bids, either wholly or partially, without assigning any reason.
