AGRI-MSMES DEVELOPMENT FOR JOBS PROJECT
Development and Preparation of Governance and Legal Documents for the Youth Entrepreneurship Investment Bank (YEIB)
RFP No.: EIH/AMD4J/RFP/PCS-001/09/2026
Grant No. 2100155043380
Addis Ababa, Ethiopia
Oct 15, 2025
- The Federal Democratic Republic of Ethiopia has received grant financing from the African Development Fund, administered by the African Development Bank (the "Bank"), toward the cost of the Agri-MSMEs Development for Jobs (AMD4J) Project and intends to apply part of the agreed amount of the Grant to eligible payments under the contract for consultancy services for the development and preparation of governance and legal documents for the Youth Entrepreneurship Investment Bank (YEIB) being implemented by the Ethiopian Investment Holdings (EIH).
- The AMD4J Project supports the Government of Ethiopia's efforts to strengthen the entrepreneurial ecosystem, improve access to finance, and enhance the competitiveness and employment-creation potential of micro, small, and medium enterprises. Under the Project, EIH, the Government's strategic investment arm and sovereign holding company established under Proclamation No. 1263/2021 and Council of Ministers Regulation No. 487/2022, is partnering with the Bank to anchor and implement the YEIB initiative. MSMEs are central to Ethiopia's job creation, innovation, poverty reduction, and inclusive growth objectives, but they continue to face significant structural constraints, particularly limited access to appropriate finance, stringent collateral requirements, underdeveloped financing instruments, and gaps in business capability. These constraints are especially significant for youth- and women-led enterprises, many of which remain concentrated in low-productivity activities and are unable to scale into sustainable, growth-oriented businesses. YEIB is therefore intended to establish a dedicated and scalable platform that combines financial and non-financial support for youth- and women-led MSMEs. The YEIB initiative is envisaged to operate through a dedicated financing fund (the "YEIB Fund") and an operating management company ("YEIB Man Co"). To operationalize this framework and support the development of Ethiopia's capital-market ecosystem, EIH intends to engage a qualified consulting firm to review and validate the proposed fund structure and prepare the governance, legal, compliance, and regulatory documents required for the establishment and effective operation of YEIB Man Co. The assignment will include reviewing the proposed fund concept, Conflict-of-Interest, fund vehicle, and any special-purpose vehicles; recommending appropriate structuring options aligned with Ethiopian regulatory requirements, international best practice, institutional-investor and development-finance-institution requirements, tax efficiency, investment protection, and operational considerations; and preparing key governance instruments, including the Board Charter, relevant Board sub-committee charters, a Compliance Policy and Procedure, a Complaints and Dispute Resolution Framework, and a Conflict of Interest Management Policy and Framework.
- The Ethiopian Investment Holdings now invites eligible consultants to indicate their interest in providing these services. Interested consultants must provide information indicating that they are qualified to perform the services; provide evidence of a minimum of 5 years of relevant work experience, demonstrate experience in undertaking similar assignments; and confirm availability of appropriate and experienced key experts for the assignment and provide evidence on previous engagement with similar donor funded projects etc). Consultants may constitute joint ventures to enhance their chances of qualification.
- Eligibility criteria, establishment of the short-list and the selection procedure shall be in accordance with the Procurement Policy for Bank Funded operations (October 2015) which is available on the Bank's website at http://www.afdb.org.
- Interested consultants may obtain further information at the email address below during office hours from 8:30AM to 5:30PM East African Time
Expressions of interest must be delivered to the address below by 30 October 2026 at 11:00AM and mention "Agri-MSMEs Development for Jobs (AMD4J) – Component 3 (YEIB Establishment and Operations)".
